These Terms of Service (these Terms) govern your access to and use of PactPro (the Service), operated by PactPro, Inc. (PactPro, we, us, or our).

By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

We may update these Terms from time to time (for example, to reflect product changes or legal requirements). We will update the date at the top of this page. If you continue using the Service after a change becomes effective, you accept the updated Terms.

2. The Service

PactPro provides automated, AI-assisted contract analysis tools. Depending on your plan and product surface, the Service may include:

• Free previews (for example, high-level risks and key obligations)
• Paid features (for example, full clause-by-clause analysis, exports, and collaboration)
• Document storage and workspace management

The Service may change over time. We do not guarantee that any specific feature will always be available.

4. Eligibility & Your Account

• You must be at least 18 years old and able to form a binding contract.
• If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
• You agree to provide accurate information and keep your account information up to date.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.

5. Your Documents, Content & Output

You may upload documents, text, and other materials to the Service (Customer Content). You retain ownership of your Customer Content.

By uploading or providing Customer Content, you represent and warrant that you have all rights necessary to provide it to us and to grant the rights in these Terms (including any necessary rights from your employer, client, or counterparty).

You grant PactPro a limited, non-exclusive license to host, store, process, and analyze your Customer Content solely to provide, maintain, secure, and support the Service (including generating analysis, summaries, and other outputs).

The Service may generate results, summaries, or recommendations based on your Customer Content (Output). As between you and PactPro, you may use the Output for your internal business purposes, subject to these Terms.

You are responsible for maintaining your own copies of Customer Content. We may delete Customer Content and Output according to our retention practices described in our Privacy Policy.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal, harmful, or abusive purpose.
• Upload Customer Content that you do not have the right to use or analyze.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Reverse engineer, decompile, or attempt to discover source code or underlying models (except where prohibited by law).
• Interfere with or disrupt the Service (including attempting to bypass rate limits or security controls).
• Transmit malware, viruses, or other harmful code.

7. Payments, Subscriptions & Refunds

Some features of the Service require payment (for example, subscriptions or one-time purchases). Payments are processed by Stripe or other third-party payment processors.

• Subscriptions. If you purchase a subscription, it may renew automatically until you cancel. You can manage or cancel your subscription through the Stripe billing portal (where available) or by contacting support.
• Fees and taxes. You agree to pay all applicable fees and taxes, and to provide accurate billing information.
• Refunds. Except where required by law, payments are non-refundable. We may issue refunds in exceptional circumstances at our discretion.

8. Intellectual Property & Feedback

The Service, including our software, design, and underlying technology, is owned by PactProand protected by intellectual property laws. We grant you a limited, non-exclusive, revocable license to use the Service in accordance with these Terms.

If you choose to provide feedback or suggestions, you grant us the right to use that feedback without restriction or compensation, unless prohibited by law.

9. Third-Party Services

The Service may integrate with third-party services (for example, payment processing). Your use of third-party services may be governed by their own terms and policies. PactPro is not responsible for third-party services.

10. Suspension & Termination

We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, if we need to protect the security or integrity of the Service, or if required by law. You may stop using the Service at any time.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Service and Output are provided on an as-is and as-available basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

12. Limitation of Liability

To the maximum extent permitted by law, PactPro will not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, lost revenue, loss of data, or business interruption) arising out of or related to your use of the Service.

To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Service will not exceed the amounts you paid to PactPro for the Service in the 12 months before the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless PactPro and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorney fees) arising out of or related to your Customer Content, your use of the Service, or your violation of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
